Deborah L. Fields
Deborah Fields is a paralegal with the firm who has more than 20 years of experience in public finance and corporate law. At KMTG, she focuses on bond transactions, working closely with attorneys on issuances for school districts, water agencies, cities and counties.
Experience
On a routine basis, Deborah organizes and coordinates multiple public finance transactions, ensuring all steps are completed and deadlines met. She works closely with our clients and all participants in each transaction to coordinate document preparation, review, and execution, and keeps the attorneys apprised of deadlines and any issues that may arise during the course of a transaction to ensure the bond financing progresses smoothly.
Deborah's public finance experience includes:
- Assisting attorneys with the research and drafting of documents for tax-exempt bond financings
- Aiding clients in their understanding of the mechanics of transactions and the logistics of the bond closing
- Drafting resolutions for issuers and other participants and shepherding them through the adoption process
- Working with attorneys and clients to have bond measures placed on local election ballots and providing assistance throughout the election process
- Preparing, obtaining, and organizing necessary legal and closing documents for closing
- Organizing document signings with clients and other financing participants
- Preparing and filing all required reporting documents with various state and federal agencies
- Researching and preparing preliminary and final official statements
Deborah's corporate experience includes:
- Preparing incorporation documents for newly-formed corporations, limited liability companies, general partnerships and limited partnerships
- Preparing articles of incorporation, bylaws, resolutions, and other corporate governance documents
- Preparing and maintaining corporation minute books
- Assisting with initial public offerings, preferred stock financings, and mergers and acquisitions transactions
- Preparing various Security & Exchange Commission forms and coordinating their filings with the SEC
Prior to joining the KMTG team, Deborah worked for 7 years as a senior corporate paralegal in the business & technology department of a large law firm in San Francisco. Prior to that, she worked for 15 years in public finance as a project manager for the San Francisco office of a world-wide law firm where she managed the public finance paralegal group; her administrative responsibilities included project staffing, managing work flow, and paralegal training.
Outside of Work
Deborah enjoys travel and has traveled extensively in Europe, Scandinavia, Turkey, Greece, and England, at one point spending a semester abroad in Paris. She is an avid reader, a movie fan, loves art and music, and enjoys singing in large groups. She recently sang Verdi's Requiem with the World Festival Choir in Russia with concerts in St. Petersburg and Moscow. A prior trip with the same choir took her to Verona, Italy, where she sang with a chorus of 3,000. After living in the Bay Area for 25 years, she is very happy to be back in her hometown of Sacramento, close to family and friends.
